• Custom software development and AI solutions
• Tech staffing and recruitment services
• TypeMyResume - AI-powered resume creation platform
• MCP server development and AI automation
• Consulting and technical advisory services

3. Use of Services

3.1 Eligibility

• You must be at least 18 years old to use our services
• You must provide accurate and complete information
• You are responsible for maintaining account security

3.2 Prohibited Uses

You may not:

• Use our services for illegal or fraudulent purposes
• Attempt to reverse engineer or hack our systems
• Resell or redistribute our services without authorization
• Violate intellectual property rights
• Transmit malicious code or interfere with service operation

4. Software Development Services

4.1 Project Engagement

• Projects are governed by individual statements of work
• Timelines and deliverables are estimates unless otherwise specified
• Client must provide timely feedback and required materials

4.2 Intellectual Property

• Custom work becomes client property upon full payment
• We retain rights to general methodologies and pre-existing IP
• Open source components remain under their respective licenses

5. Staffing Services

5.1 Candidate Placement

• We provide qualified candidates based on requirements
• Final hiring decisions rest with the client
• Placement fees are due upon candidate start date

5.2 Guarantees

Replacement guarantees and terms are specified in individual staffing agreements.

6. Payment Terms

6.1 General Terms

• Payment terms are Net 30 unless otherwise specified
• Late payments subject to 1.5% monthly interest
• Client responsible for applicable taxes

6.2 Subscription Services

Products like TypeMyResume have separate billing terms detailed in their specific terms of service.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of services.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE SPECIFIC RESULTS OR OUTCOMES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONNET CODE LLC'S LIABILITY SHALL NOT EXCEED THE FEES PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless Sonnet Code LLC from claims arising from your use of our services, violation of these Terms, or infringement of third-party rights.

11. Termination

• Either party may terminate services with written notice
• We may suspend services for non-payment
• Termination does not relieve payment obligations

12. Governing Law

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Albuquerque, New Mexico.

13. AI and Machine Learning Services

AI-generated content and recommendations are provided as tools and should be reviewed by users. We do not guarantee accuracy or suitability for specific purposes.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or website announcement. Continued use constitutes acceptance of modified Terms.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Sonnet Code LLC.
